These terms and conditions of use (Hereinafter referred to as the "Terms of Use") are set forth by NS TOOL Co., Ltd.(hereinafter referred to as "NS TOOL") for the "Threading NC programming software"(hereinafter referred to as "Software") which is provided by NS TOOL.Any person who wishes to use this Software (hereinafter referred to as "User") must comply with these terms and conditions or the Software may not be used.
Article 1 (Agreement)
The User shall be deemed to have agreed to these Terms of Use when the User clicks the "Agree" button displayed with these Terms of Use.
Article 2 (Application)
This Terms of Use shall apply between NS TOOL and the User with respect to the Software.
Article 3 (Revision)
1. NS TOOL may revise this Terms of Use without prior notice to the User.
2. NS TOOL may revise the specifications of the Software without prior notice to the User.
Article 4 (Copyright)
All copyrights and other intellectual property rights related to the Software shall belong exclusively to NS TOOL.
Article 5 (Grant of Rights)
1. The User acquires the non-exclusive right to use the Software in accordance with the Terms of use under this Agreement.
2. The User may install and use the Software on an electronic storage in the User's computer.
Article 6 (Restrictions)
1. The User shall not modify, alter, reverse-engineer, decompile, disassemble, or do any other similar acts to the Software in any way.
2. The User shall not duplicate the whole or any part of the Software.
3. The User shall not have the right to license this Software.
4. The User shall not distribute, sell, or lend this Software to a third party.
Article 7 (Disclaimer)
1. NS TOOL does not warrant and is not responsible for any costs, losses, damages or any other problems of the User or third parties arising from the Software.
2. NS TOOL does not warrant that the Software will operate in the User's environment at all.
3. NS TOOL is under no obligation to modify the Software.
Article 8 (Compensation for Damages)
If the User causes damage to the Company by violating any of the provisions of this Agreement, the Company may demand compensation for such damage (including, but not limited to, reasonable attorney's fees).
Article 9 (Governing Law)
The laws and regulations of Japan shall apply to any dispute concerning the Software and the Terms of Use.
Article 10 (Jurisdiction)
The district court or summary court over the head office of NS TOOL shall have exclusive jurisdiction in the first instance over any dispute relating to the Software and the Terms of Use, depending on the amount of the suit.
